These Terms of Service ("Terms") are a binding legal agreement between you and Rybix regarding your use of our website, applications, APIs, tokenization platforms, automation tools, real estate services, and any other products or services we offer (collectively, the "Services").

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

By registering for an account, accessing our platform, or using any of our Services, you confirm that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

We may modify these Terms from time to time. When we make material changes, we will provide notice through the Services or by other means. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

Rybix provides a comprehensive ecosystem of technology solutions including:

• Products & Automations — Workflow automation, AI agents, and smart contract deployment
• Tokenization — Asset tokenization services for real estate, commodities, and financial instruments
• Real Estate Solutions — Property management platforms, fractional ownership frameworks, and compliance tools
• Marketing Automation — Digital marketing infrastructure, analytics, and campaign management

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account
• Comply with all applicable laws, regulations, and these Terms

You may not share your account credentials with any third party. We reserve the right to suspend or terminate accounts that violate these Terms.

All content, features, and functionality of our Services — including but not limited to software, source code, algorithms, trademarks, logos, designs, text, graphics, and APIs — are the exclusive property of Rybix or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business or personal purposes, strictly in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written consent.

Certain Services may require payment of fees. All fees are non-refundable except as expressly provided in these Terms or as required by law. We may modify our fee structure upon 30 days' notice. You are responsible for all taxes associated with your use of our Services.

For tokenization and real estate services, additional fees including gas fees, minting costs, and third-party integration charges may apply. We will disclose such fees before you incur them.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease

Sections that by their nature should survive termination including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive any termination of these Terms.

Your use of the services is at your sole risk. The services are provided on an "as is" and "as available" basis. Rybix expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of viruses or other harmful components. Blockchain networks involve inherent risks, including network congestion, forks, and smart contract vulnerabilities.

To the maximum extent permitted by law, in no event shall rybix, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the services.

Our total liability to you for any claims arising from these terms or your use of the services shall not exceed the amount you paid us, if any, during the twelve (12) months preceding the event giving rise to the liability, or one hundred dollars ($100) if you have not paid any amounts.
